1. Agreement to Terms

Welcome to Le Conseil. These Terms of Service (‘Terms’) govern your use of our website (leconseil.ai) and services, including the Holistic Health Plan, Essential Advisor Kit, and Advisor Accelerator programs (collectively, the ‘Services’).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services. These Terms constitute a legally binding agreement between you and Le Conseil.

IMPORTANT: These Terms contain an arbitration clause and class action waiver that affects your legal rights. Please read Section 15 carefully.

2. Description of Services

2.1 Holistic Health Plan

For $9.11 per month, participants receive access to essential healthcare coverage including primary care physician services and foundational financial health training through our holistic model combining health and finance education.

2.2 Essential Advisor Kit

Our annual membership at $75 per year provides continuing education (CE) credits and training for financial advisors, discounts on professional forms and paperwork, and access to communications supporting professional self-service needs.

2.3 Advisor Accelerator

At $24.99 per month, this growth package focuses on lead generation for funds and life insurance, professional promotion within the CFIB community, and provides discounted access to business development tools and training.

3. User Accounts and Registration

To access our Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Immediately notifying us of any unauthorized use
Ensuring your contact information remains current

You must be at least 18 years old and have the legal capacity to enter into contracts. For healthcare services, additional eligibility requirements may apply.

4. Payment Terms and Billing

4.1 Fees and Payment

Service fees are as follows:

Holistic Health Plan: $9.11 per month (billed monthly)
Essential Advisor Kit: $150 per two years (billed annually)
Advisor Accelerator: $49.99 per month (billed monthly)

All fees are exclusive of applicable taxes. Payment is due in advance for each billing period. By providing payment information, you authorize us to charge all fees to your selected payment method.

4.2 Automatic Renewal and Cancellation

Services automatically renew unless cancelled. You may cancel at any time through your account settings or by contacting us. Cancellations take effect at the end of the current billing period. No refunds are provided for partial billing periods, except as required by law.

4.3 Fee Changes

We may modify fees with 30 days’ written notice. Continued use of Services after fee changes constitutes acceptance of new pricing.

5. Acceptable Use and Prohibited Activities

You agree not to use our Services for any unlawful purpose or in any way that could damage, disable, or impair our Services. Prohibited activities include:

Violating any applicable laws, regulations, or professional standards
Providing false or misleading information
Interfering with or disrupting our Services or servers
Attempting to gain unauthorized access to our systems
Using Services to spam, harass, or engage in fraudulent activities
Sharing account credentials with unauthorized persons
Reverse engineering, copying, or creating derivative works

6. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, software, and educational materials, are owned by Le Conseil or our licensors and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for their intended purposes. You may not reproduce, distribute, modify, or create derivative works from our content without express written permission.

7. Professional Services and Educational Content

IMPORTANT DISCLAIMER: Le Conseil provides educational content and administrative support but does not provide personalized financial, legal, or medical advice. Always consult qualified professionals for specific advice regarding your situation.

Our Services include:

Educational training and continuing education credits

Access to healthcare provider networks (not direct medical care)

You acknowledge that you are responsible for ensuring compliance with all applicable professional licensing requirements and regulations in your jurisdiction.

8. Healthcare Services and Limitations

Our Holistic Health Plan facilitates access to healthcare providers but does not constitute the practice of medicine. Healthcare services are provided by independent licensed healthcare professionals, not by Le Conseil.

EMERGENCY DISCLAIMER: Our Services are not intended for medical emergencies. In case of emergency, contact emergency services immediately.

Healthcare service limitations:

Coverage subject to provider availability and geographic restrictions
Not a substitute for comprehensive health insurance
Certain services may require additional fees or co-payments
Pre-existing condition limitations may apply

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers and Warranties

OUR SERVICES ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’ WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

Our Services will be uninterrupted, secure, or error-free
The quality of Services will meet your expectations
Any errors in Services will be corrected
Our Services will be compatible with all hardware/software

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LE CONSEIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claim arising out of or relating to these Terms or our Services shall not exceed the amount paid by you to Le Conseil in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Le Conseil, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, or expenses arising out of or relating to:

Your use of our Services
Your violation of these Terms
Your violation of any third-party rights
Any content you submit or transmit through our Services

13. Termination

Either party may terminate your access to our Services at any time. We may suspend or terminate your account immediately without notice if you violate these Terms or engage in prohibited activities.

Upon termination:

Your right to access Services immediately ceases
You remain liable for all fees incurred through termination
Provisions regarding intellectual property, disclaimers, and limitation of liability survive

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Quebec, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Quebec.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND GOVERNS HOW DISPUTES BETWEEN YOU AND LE CONSEIL ARE RESOLVED.

Most disputes can be resolved informally. Before initiating formal proceedings, you agree to contact us at legal@leconseil.ai to seek resolution.

15.1 Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration administered by a recognized arbitration organization, rather than in court. The arbitration will be conducted in Montreal, Quebec, under Quebec arbitration laws.

15.2 Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in class actions, collective actions, or representative proceedings.

15.3 Exceptions

This arbitration clause does not apply to: (1) claims for injunctive relief, (2) intellectual property disputes, or (3) small claims court actions within jurisdictional limits.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Le Conseil regarding our Services and supersede all prior agreements and understandings.

16.2 Amendments

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be communicated through email or prominent notice. Continued use of Services after changes constitutes acceptance.

16.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, or network failures.
